What Is a Registered Agent in California?

In California, the designated recipient of legal documents and state correspondence is called an "agent for service of process" — not simply a registered agent, though the function is identical. Every business entity registered with the California Secretary of State must designate an agent for service of process at all times.

California is one of the stricter states when it comes to agent requirements. If you designate an individual rather than a company, that person must be a California resident. If you designate a company, it must be separately registered with the California Secretary of State as a corporate agent under Corp. Code § 1505 — a specialized registration that URA holds.

California also requires entities to file a Statement of Information on a recurring basis, and your agent information must be current on that filing at all times.

California Corporations Code Under Cal. Corp. Code § 1502 (corporations) and § 17702.09 (LLCs), every entity registered in the state must maintain an agent for service of process at a California street address. Corporate agents must be separately registered with the Secretary of State under Corp. Code § 1505.

California Statement of Information Corporations must file Form SI-550 annually ($25 fee). LLCs file Form LLC-12 every two years ($20 fee). Both must be filed within 90 days of formation and on a recurring schedule thereafter. These are separate state obligations not included in your registered agent fee.
