What Is a Registered Agent in Delaware?

Delaware is home to more than half of all publicly traded U.S. companies and the majority of Fortune 500 corporations, largely because of its business-friendly legal environment and the Court of Chancery. But every entity formed here, regardless of size, must maintain a registered agent with a physical address in the state.

The registered agent receives official legal documents, service of process, and correspondence from the Division of Corporations on your entity's behalf. Because most entities formed here are not physically located in the state, a registered agent service is essentially mandatory in practice.

The state also requires your registered agent to be listed on your Certificate of Incorporation or Certificate of Formation at the time of filing. It is not something you can add later.

Delaware General Corporation Law / LLC Act Under Del. Code tit. 8, § 131 (corporations) and Del. Code tit. 6, § 18-104 (LLCs), every Delaware entity must at all times maintain a registered agent in the state. The agent must have a business address in Delaware. A P.O. box is not sufficient.

Delaware Franchise Tax Delaware corporations owe an annual franchise tax due March 1. Delaware LLCs owe a flat $300 annual tax due June 1. These are separate state obligations paid directly to Delaware and are not included in your registered agent fee. URA sends reminders for both deadlines.
