What Is a Registered Agent in Florida?

A registered agent in Florida is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Florida Division of Corporations on behalf of your business. Every LLC and corporation registered in the state is required to maintain a registered agent with a physical Florida address at all times.

The registered agent's primary role is to accept service of process — court summons, subpoenas, and other legal notices — and forward them to you promptly. They also receive annual report reminders and other official correspondence from the Division of Corporations.

Florida also requires that your registered agent consent in writing to the appointment — a Florida-specific requirement. In addition, Florida's agent must be listed on the entity's formation documents or updated via Sunbiz.org whenever a change occurs.

Florida Statutes Under Fla. Stat. § 605.0113 (LLCs) and Fla. Stat. § 607.0501 (corporations), every domestic and foreign entity registered in Florida must continuously maintain a registered agent at a registered office in the state. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.

Entities that miss the May 1 deadline incur a $400 late fee. Entities not filed by the third Friday of September face administrative dissolution. URA sends reminders well before this deadline.
