What Is a Registered Agent in Indiana?

A registered agent in Indiana is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Indiana Secretary of State on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Indiana address at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive biennial report reminders and other official correspondence from the Secretary of State.

Indiana requires your registered agent to have a physical street address in the state — P.O. boxes are not permitted. Your agent must be available during regular business hours to accept documents.

Indiana Code Under Ind. Code § 23-1-24-1 (corporations) and Ind. Code § 23-18-2-10 (LLCs), every domestic and foreign entity registered in Indiana must continuously maintain a registered agent at a registered office in the state. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.

FAQ

Frequently Asked Questions

Indiana does not require an annual report. Instead, all LLCs and corporations must file a business entity report every two years. The filing fee is $32 online ($50 by mail). The report is due in the anniversary month of the entity's formation, in the applicable even or odd year. URA tracks your specific cycle and sends reminders well before your deadline.
Yes, you can serve as your own registered agent if you have a physical Indiana street address and are available during regular business hours. Most business owners use a professional service to keep their personal address off public record and ensure consistent availability when legal documents arrive.
Failing to maintain a registered agent can result in the Indiana Secretary of State administratively dissolving your entity or revoking its authority to do business in the state. This removes your liability protection and can have serious legal and financial consequences. Reinstatement requires fees and additional filings.
To change your registered agent, you file a change of registered agent form through Indiana's INBiz portal. Once you place your order with URA, we handle this filing on your behalf so you don't have to navigate the portal yourself.
Yes. If your out-of-state company has employees, offices, or is doing business in Indiana, you must register as a foreign entity with the Secretary of State and maintain a registered agent in the state. URA can serve as your agent here and in your home state simultaneously at the same flat annual rate.
Your service renews on the anniversary of your order date. We'll send a renewal reminder at least 30 days in advance. Failure to renew may result in URA resigning as your registered agent, which would require you to designate a new agent to maintain compliance with the state.
