What Is a Registered Agent in Massachusetts?

A registered agent in Massachusetts is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Massachusetts Secretary of the Commonwealth on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Massachusetts address at all times.

Massachusetts uses the term "registered agent" for both corporations and LLCs. Your agent accepts court summons, subpoenas, and other legal notices and forwards them promptly. They also receive annual report reminders and other official correspondence from the state.

Your registered agent must have a physical street address in Massachusetts — P.O. boxes are not permitted. The agent must be available during regular business hours to accept documents.

Massachusetts General Laws Under M.G.L. c. 156D, § 5.01 (corporations) and M.G.L. c. 156C, § 5 (LLCs), every domestic and foreign entity registered in Massachusetts must continuously maintain a registered agent at a registered office in the state. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.
