What Is a Registered Agent in Minnesota?

A registered agent in Minnesota is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Minnesota Secretary of State on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Minnesota address at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive annual renewal reminders and other official correspondence from the Secretary of State.

Minnesota requires your registered agent to have a physical street address in the state — P.O. boxes are not permitted. Your agent must be available during regular business hours to accept documents.

Minnesota Statutes Under Minn. Stat. § 302A.121 (corporations) and Minn. Stat. § 322C.0113 (LLCs), every domestic and foreign entity registered in Minnesota must continuously maintain a registered agent at a registered office in the state. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.
