What Is a Registered Agent in Minnesota?

A registered agent in Minnesota is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Minnesota Secretary of State on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Minnesota address at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive annual renewal reminders and other official correspondence from the Secretary of State.

Minnesota requires your registered agent to have a physical street address in the state — P.O. boxes are not permitted. Your agent must be available during regular business hours to accept documents.

Minnesota Statutes Under Minn. Stat. § 302A.121 (corporations) and Minn. Stat. § 322C.0113 (LLCs), every domestic and foreign entity registered in Minnesota must continuously maintain a registered agent at a registered office in the state. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.

FAQ

Frequently Asked Questions

Yes, you can serve as your own registered agent if you have a physical Minnesota street address and are available during regular business hours. Most business owners use a professional service to keep their personal address off public record and ensure consistent availability when legal documents arrive.
Minnesota requires all LLCs and corporations to file an annual renewal each year, due December 31 for all entities regardless of formation date. The filing fee is $25 for both LLCs and corporations. Entities that fail to file can lose good standing and face administrative dissolution. URA sends reminders before the December 31 deadline.
Failing to maintain a registered agent can result in the Secretary of State administratively dissolving your entity or revoking its authority to do business in the state. This removes your liability protection and can have serious legal and financial consequences. Reinstatement requires fees and additional filings.
To change your registered agent, you file a change of registered agent form with the Minnesota Secretary of State. Once you place your order with URA, we handle this filing on your behalf so you don't have to navigate the state portal yourself.
Yes. If your out-of-state company has employees, offices, or is doing business in Minnesota, you must register as a foreign entity with the Secretary of State and maintain a registered agent in the state. URA can serve as your agent here and in your home state simultaneously at the same flat annual rate.
Your service renews on the anniversary of your order date. We'll send a renewal reminder at least 30 days in advance. Failure to renew may result in URA resigning as your registered agent, which would require you to designate a new agent to maintain compliance with the state.
