What Is a Registered Agent in North Carolina?

Your registered agent is the designated individual or entity authorized to receive service of process, legal documents, and official correspondence from the Secretary of State on behalf of your business. Every LLC and corporation registered here must maintain a registered agent with a physical address in the state at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive annual report reminders and other official correspondence from the Secretary of State.

North Carolina requires your registered agent to have a physical street address in the state — P.O. boxes are not permitted. Your agent must be available during regular business hours to accept documents.

North Carolina Business Corporation Act / LLC Act Under N.C. Gen. Stat. § 55-5-01 (corporations) and N.C. Gen. Stat. § 57D-2-40 (LLCs), every domestic and foreign entity registered in the state must continuously maintain a registered agent at a registered office. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to conduct business.
