What Is a Registered Agent in Ohio?

A registered agent in Ohio is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Ohio Secretary of State on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Ohio address at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive compliance reminders and other official correspondence from the Secretary of State.

Ohio requires your registered agent to have a physical street address in the state. P.O. boxes are not permitted. Your agent must be available during regular business hours to receive documents.

Ohio Revised Code Under ORC § 1701.07 (corporations) and ORC § 1706.09 (LLCs), every domestic and foreign entity registered in Ohio must continuously maintain a registered agent at a registered address in the state. The registered address must be a physical street address. Failure to maintain a registered agent can result in the Secretary of State canceling the entity's registration.
