What Is a Registered Agent in Oregon?

A registered agent in Oregon is the designated individual or entity authorized to receive service of process, official legal documents, and correspondence from the Oregon Secretary of State on behalf of your business. Every LLC and corporation registered in the state must maintain a registered agent with a physical Oregon address at all times.

Your agent accepts court summons, subpoenas, and other legal notices and forwards them to you promptly. They also receive annual report reminders and other official correspondence from the Secretary of State.

Oregon requires your registered agent to have a physical street address in the state. P.O. boxes are not permitted. Your agent must be available during regular business hours to accept documents.

Oregon Revised Statutes Under ORS § 60.111 (corporations) and ORS § 63.111 (LLCs), every domestic and foreign entity registered in Oregon must continuously maintain a registered agent at a registered office in the state. The registered office must be a physical street address. Failure to maintain a registered agent can result in administrative dissolution or revocation of authority to transact business.

FAQ

Frequently Asked Questions

Yes, you can serve as your own registered agent if you have a physical Oregon street address and are available during regular business hours. Most business owners use a professional service to keep their personal address off public record and ensure consistent availability when legal documents arrive.
Oregon requires all LLCs and corporations to file an annual report each year. The filing fee is $100 for both LLCs and corporations. Annual reports are due on the anniversary of the entity's original formation date. URA tracks your specific deadline and sends reminders before it arrives.
Failing to maintain a registered agent can result in the Secretary of State administratively dissolving your entity or revoking its authority to transact business in the state. This removes your liability protection and can have serious legal and financial consequences. Reinstatement requires fees and additional filings.
To change your registered agent, you file a statement of change with the Oregon Secretary of State. Once you place your order with URA, we handle this filing on your behalf so you do not have to navigate the state portal yourself.
Yes. If your out-of-state company has employees, offices, or is doing business in Oregon, you must register as a foreign entity with the Secretary of State and maintain a registered agent in the state. URA can serve as your agent here and in your home state simultaneously at the same flat annual rate.
Your service renews on the anniversary of your order date. We will send a renewal reminder at least 30 days in advance. Failure to renew may result in URA resigning as your registered agent, which would require you to designate a new agent to maintain compliance with the state.
