Pennsylvania’s new annual report requirement for LLCs is already in effect, and the first major deadline is just around the corner. By September 30, 2025, most Pennsylvania LLCs—both domestic and foreign—must submit their annual report to the Department of State. If your LLC was formed or registered before 2025, this is the first time you’re required to file under the new law.

This change came with the passage of Act 122 of 2022, which repealed the old decennial reporting requirement and replaced it with an annual filing system. The shift brings Pennsylvania in line with the reporting standards in most other states.

Key Filing Deadlines for Pennsylvania LLCs

The deadline for filing your annual report is September 30 each year. The filing window opens on January 1.

  • If your LLC was formed or registered before 2025, the first report is due in 2025.
  • If your LLC forms or registers during 2025, the first report is due in 2026.

Required Information for the Annual Report

Each annual report will require the following basic information:

  • Entity name
  • Jurisdiction of formation (if foreign)
  • Registered office address
  • Principal office address
  • Name of at least one governor (such as a member or manager)
  • Names and titles of principal officers, if applicable
  • Entity number issued by the PA Department of State

Annual Report Filing Fee

  • $7 for domestic and foreign LLCs
  • No fee for nonprofit LLCs or those formed for not-for-profit purposes

Consequences for Failing to File

Businesses that do not file their annual report may face administrative consequences. Starting in 2027, Pennsylvania will begin:

  • Dissolving domestic LLCs
  • Revoking foreign registrations

Dissolved or canceled entities lose the protection of their business name. Reinstatement may require:

  • Additional fees
  • Updated paperwork

  • The state mails a reminder to the registered office at least two months before the deadline
  • Businesses can opt into email reminders
